Please carefully review these Terms of Service (“Terms”, “Terms of Service”) before using the www.face2faceafrica.com website (the “Service”) operated by PanaGenius LLC (“us”, “we”, or “our”).

Your access to and use of the Service is contingent upon your agreement to and compliance with these Terms. These Terms apply to all visitors, users, and others who intend to access or utilize the Service.

By accessing or using the Service, you signify your consent to be bound by these Terms. If you disagree with any aspect of the terms, you are not authorized to access the Service.

Subscriptions

Certain sections of the Service require a subscription for access (“Subscription(s)”). You will be charged in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the conclusion of each Billing Cycle, your Subscription will automatically renew under the same terms unless you cancel it or PanaGenius LLC cancels it. You can cancel your Subscription renewal through your online account management page or by contacting PanaGenius LLC customer support.

To process your Subscription payment, a valid payment method like a credit card or PayPal is necessary. You must provide PanaGenius LLC with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method details. By submitting such payment information, you grant PanaGenius LLC authorization to charge all Subscription fees incurred through your account to any provided payment instruments.

If automatic billing fails for any reason, PanaGenius LLC will issue an electronic invoice that indicates manual payment must be made within a specific deadline date, corresponding to the billing period on the invoice.

Fee Changes

PanaGenius LLC reserves the right to modify Subscription fees for the Subscriptions at its sole discretion and at any time. Any changes in Subscription fees will take effect at the end of the current Billing Cycle.

PanaGenius LLC will provide reasonable advance notice of any Subscription fee changes to allow you the opportunity to terminate your Subscription before the new fee structure becomes effective.

Continuing to use the Service after the change in Subscription fee constitutes your acceptance of the adjusted fee amount.

Refunds

With the exception of situations mandated by law, paid Subscription fees are non-refundable.

Accounts

When establishing an account with us, you affirm that you are at least 18 years old and that the information you provide is accurate, complete, and current at all times. Incorrect, incomplete, or outdated information may result in the immediate termination of your account on the Service.

You are responsible for safeguarding the confidentiality of your account and password, including restricting access to your computer and/or account. You agree to bear responsibility for all activities or actions that occur under your account and/or password, whether your password is for our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Copyright Policy

We respect the intellectual property rights of others. Our policy is to respond to any claim that Content posted on the Service infringes on the copyright or other intellectual property rights (“Infringement”) of any individual or entity.

If you are a copyright owner or authorized representative, and you believe that posted Content on the Service infringes on copyrighted work, please submit your claim via email to inquiry@panagenius.com, with the subject line: “Copyright Infringement.” Provide a detailed description of the alleged Infringement as outlined under “DMCA Notice and Procedure for Copyright Infringement Claims” below.

You may be held liable for damages (including costs and attorneys’ fees) for misrepresentation or bad-faith claims of Content infringement on the Service related to your copyright.

DMCA Notice and Procedure for Copyright Infringement Claims

You can submit a notification following the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following written information (see 17 U.S.C 512(c)(3) for further detail):

• An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest.
• A description of the copyrighted work claimed to have been infringed, including the URL (web page address) where the copyrighted work exists or a copy of the copyrighted work.
• Identification of the specific location on the Service where the infringing material is located.

• A statement by you that you believe in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the information provided in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

The Service and its original content, features, and functionality are and will remain the exclusive property of PanaGenius LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent from PanaGenius LLC.

Our Service may contain links to third-party websites or services not owned or controlled by PanaGenius LLC.

PanaGenius LLC has no authority over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not guarantee the offerings of these entities/individuals or their websites.

You acknowledge and agree that PanaGenius LLC is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services.

Termination

We retain the right to terminate or suspend your account and block access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason, including but not limited to breach of the Terms.

To terminate your account, you can cease using the Service.

Provisions of the Terms that, by nature, should continue to exist after termination will remain in effect, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You consent to defend, indemnify, and hold harmless PanaGenius LLC and its licensees and licensors, as well as their employees, contractors, agents, officers, and directors, from any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including attorney’s fees) resulting from or arising out of a) your use and access of the Service by you or any person using your account and password, or b) a violation of these Terms

Limitation Of Liability

Under no circumstances shall PanaGenius LLC, or its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third-party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage, and even if a remedy set forth herein has failed of its essential purpose.

b) any errors or defects will be corrected;

c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Exclusions

Certain jurisdictions may not permit the exclusion of specific warranties or the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without consideration of its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be interpreted as a waiver of those rights. If any provision of these Terms is deemed invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the complete agreement between us concerning the Service, and supersede and replace any prior agreements we may have had concerning the Service.

Changes

We retain the right, under our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will offer at least 30 days’ notice before any new terms become effective. The determination of what constitutes a material change will be made solely by us.

Continuing to access or use our Service after any revisions become effective implies your acceptance of the revised terms. If you do not agree with the updated terms, you are no longer authorized to use the Service.
